OVERVIEW

The terms "we," "us," and "our" refer to NYONDIAMOND. NYONDIAMOND operates this store and website, including the information, content, features, tools, products, and services made available through it (collectively, the "Services"). The Services are powered by Shopify.

These Terms of Service (the "Terms"), together with the policies referenced in them and any written terms that apply to a particular order, describe your rights and responsibilities when you access or use the Services.

Please read these Terms carefully. By accessing or using the Services, you agree to these Terms and our Privacy Policy: https://www.nyondiamond.com/policies/privacy-policy. If you do not agree, do not use the Services.

SECTION 1 — ELIGIBILITY, AUTHORITY, AND ACCOUNTS

You must be at least the age of majority in your place of residence to use the Services or place an order. If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

You agree to provide current, complete, and accurate account, billing, payment, shipping, and business information. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person without our written permission.

SECTION 2 — WHOLESALE ACCESS AND AUTHORIZED RESALE

Certain prices, products, ordering features, or other Services may be limited to customers whose wholesale accounts have been approved by NYONDIAMOND. Submitting an application does not guarantee approval. We may request information reasonably necessary to review an application or order and may approve, decline, suspend, or revoke wholesale access, subject to applicable law and any binding written agreement.

Approved wholesale customers may purchase genuine NYONDIAMOND products for commercial resale in the ordinary course of their business, subject to these Terms and any applicable written order terms. This permission to resell physical products does not grant any ownership, license, distributorship, agency, exclusivity, or other right in NYONDIAMOND's trademarks, copyrighted content, product photography, designs, or other intellectual property. Any use of those materials requires separate written authorization unless applicable law permits the use.

You may not represent that you are NYONDIAMOND, an exclusive distributor, an employee, an agent, or otherwise authorized to bind NYONDIAMOND unless we have expressly agreed in writing.

SECTION 3 — PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to describe and display products accurately. Colors, scale, and appearance may vary depending on the device, display settings, photography, and other factors. Product descriptions, specifications, prices, and availability may change without notice.

You are responsible for reviewing product specifications and determining that the products selected are appropriate for the intended professional or commercial use. Educational and product information on the Services is general information and is not a substitute for medical advice, individualized professional assessment, or compliance with laws applicable to your business.

We may discontinue products or limit quantities available to any person, account, geographic area, or jurisdiction on a case-by-case basis.

SECTION 4 — ORDERS

Submitting an order starts the purchase process. Order confirmations and payment acknowledgements may be generated automatically. We may contact you if payment, product availability, account status, shipping details, fraud-prevention checks, or other order information requires verification. If we cannot accept or fulfill an order, we will use the contact information provided with the order to notify you and will provide any refund required by the applicable order terms and law.

Please review an order carefully before submitting it. If you request a cancellation or change, we will review the request, but we cannot guarantee that an accepted or processed order can be changed or cancelled. If we decline, change, or cancel an order, we will attempt to contact you using the information provided with the order.

Custom, personalized, made-to-order, and special-order items may also be subject to written specifications or order-specific terms. Those items may not be returnable except as stated in our Refund & Returns Policy, the applicable written terms, or applicable law.

SECTION 5 — PRICES, PAYMENT, TAXES, AND CHARGES

Prices, discounts, and promotions may change without notice. The price charged will be the price stated in the accepted order, checkout, invoice, or written order confirmation, as applicable.

Unless expressly stated otherwise, product prices do not include shipping, handling, import duties, customs charges, taxes, brokerage fees, or other destination-country charges. You are responsible for charges applicable to your order except where checkout, written order terms, or applicable law state otherwise.

You agree to provide accurate and authorized payment information and to pay all amounts shown in the accepted order. Promotions may have separate terms. If promotion terms conflict with these Terms, the promotion terms apply to that promotion.

SECTION 6 — SHIPPING AND DELIVERY

Shipping is governed by our Shipping Policy: https://www.nyondiamond.com/policies/shipping-policy and by any written shipping terms that apply to a particular order.

Dispatch and delivery dates are estimates unless NYONDIAMOND expressly agrees otherwise in writing. Carrier operations, customs processing, weather, service disruptions, and other events outside our reasonable control may affect delivery. Nothing in this section limits rights or remedies that cannot be excluded under applicable law.

SECTION 7 — RETURNS, REFUNDS, AND EXCHANGES

Returns, refunds, exchanges, hygiene restrictions, and custom-order exclusions are governed by our Refund & Returns Policy: https://www.nyondiamond.com/policies/refund-policy and by any written terms that apply to a particular order.

SECTION 8 — ORDER-SPECIFIC TERMS

An approved wholesale or custom order may be governed by an accepted written quote, invoice, order confirmation, specification approval, or other written agreement. If an order-specific written term conflicts with these Terms, the order-specific written term controls for that order to the extent permitted by law. These Terms continue to apply to matters not addressed by the order-specific terms.

SECTION 9 — INTELLECTUAL PROPERTY

The Services and their contents, including trademarks, names, logos, text, graphics, images, product photography, videos, audio, site design, and arrangement, are owned by or licensed to NYONDIAMOND and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful browsing, account administration, purchasing, and internal business evaluation. Except as allowed by applicable law or separate written permission, you may not reproduce, distribute, modify, republish, publicly display, download, scrape, store, transmit, sell, or commercially exploit any part of the Services.

Authorized resale of genuine products under Section 2 does not transfer or license our intellectual property.

SECTION 10 — OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to tools, payment services, applications, content, or links operated by third parties. We do not control those third-party services and provide access to them on an "as is" and "as available" basis. Your use of a third-party service may be subject to that provider's terms and privacy policy. Review those terms before using the service.

We are not responsible for third-party content, services, transactions, or practices except to the extent responsibility cannot be excluded under applicable law.

SECTION 11 — RELATIONSHIP WITH SHOPIFY

The Services are powered by Shopify, which enables us to provide the online store. Purchases made through the store are transactions directly between you and NYONDIAMOND. Shopify is not the seller of NYONDIAMOND products and is not responsible for the products or for the performance of the sales contract, except to the extent applicable law provides otherwise.

SECTION 12 — PRIVACY

Personal information collected through the Services is handled as described in our Privacy Policy: https://www.nyondiamond.com/policies/privacy-policy. Because the Services are hosted by Shopify, Shopify and service providers may process personal information to provide and improve the Services. Please review the Privacy Policy before using the Services.

SECTION 13 — FEEDBACK AND USER CONTENT

If you submit reviews, suggestions, ideas, images, or other content ("Feedback"), you represent that you own or have permission to submit it and that it does not violate law or another person's rights.

To the extent permitted by law, you grant NYONDIAMOND a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, adapt, publish, translate, distribute, and display the Feedback for operating, improving, and promoting the Services and products. This license does not require us to use the Feedback or compensate you unless we separately agree in writing.

We may remove Feedback that we reasonably believe is unlawful, misleading, abusive, infringing, or otherwise violates these Terms.

SECTION 14 — ERRORS AND AVAILABILITY

Information on the Services may occasionally contain errors, inaccuracies, or omissions relating to descriptions, prices, promotions, shipping charges, transit estimates, or availability. We may correct information and, where necessary, change or cancel an order affected by a material error, subject to applicable law. If an accepted order is materially affected, we will attempt to notify you using the order contact information.

SECTION 15 — PROHIBITED USES

You may use the Services only for lawful purposes. You may not use the Services to violate law; infringe intellectual property or privacy rights; transmit harmful code; engage in fraud, impersonation, harassment, or misleading conduct; collect personal information without authorization; interfere with security or operation; bypass access restrictions; send spam; or copy, scrape, extract, resell, or exploit the Services or their contents without authorization.

Automated access, including by bots, scrapers, or autonomous agents, is prohibited unless NYONDIAMOND has expressly authorized it in writing or applicable law permits it. We may limit, suspend, or terminate access that violates these Terms.

SECTION 16 — SUSPENSION AND TERMINATION

We may suspend or terminate access to the Services or an account if we reasonably believe these Terms have been violated, if necessary to protect the Services or other users, or where otherwise permitted by law. You remain responsible for amounts lawfully due before termination.

Sections that by their nature should continue after termination—including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions—will survive.

SECTION 17 — DISCLAIMER OF WARRANTIES

Except for warranties expressly provided by NYONDIAMOND and rights that cannot be excluded by law, the Services are provided "as is" and "as available." We do not warrant that the Services will always be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by law, we disclaim implied warranties or conditions, including merchantability, fitness for a particular purpose, durability, title, and non-infringement. Some jurisdictions do not allow certain exclusions, so those exclusions may not apply to you.

SECTION 18 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, NYONDIAMOND and its affiliates, directors, officers, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, revenue, data, or business opportunity, arising from the Services or products.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Rights and remedies under mandatory consumer law are not affected.

SECTION 19 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless NYONDIAMOND and its affiliates, directors, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from your material breach of these Terms, your unlawful use of the Services, or your infringement of a third party's rights.

This section does not apply to the extent a claim results from NYONDIAMOND's own unlawful conduct or where indemnification cannot be required under applicable law.

SECTION 20 — SEVERABILITY

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and severed to the minimum extent necessary. The remaining provisions will continue in effect.

SECTION 21 — WAIVER AND ENTIRE AGREEMENT

Failure to enforce a provision is not a waiver of that provision. These Terms, the policies referenced in them, and applicable order-specific written terms constitute the agreement governing the Services and orders, except where a separate signed agreement expressly states otherwise.

SECTION 22 — ASSIGNMENT

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms as part of a merger, reorganization, sale of assets, or other lawful business transfer, subject to applicable law.

SECTION 23 — GOVERNING LAW AND MANDATORY RIGHTS

These Terms are governed by the laws applicable to NYONDIAMOND in the jurisdiction in which it is legally established, without regard to conflict-of-law principles, except where mandatory law requires another result. Nothing in these Terms deprives a consumer of non-waivable protections or jurisdictional rights available under applicable law.

SECTION 24 — CHANGES TO THESE TERMS

We may update these Terms by posting a revised version on this page. Where applicable law requires notice of a material change, we will provide that notice. The revised Terms apply from the effective date stated or, if no date is stated, from the date they are posted. Changes do not retroactively alter an accepted order unless applicable law or an agreed written term permits it.
